Terms of Service

1. Acceptance of Terms

By accessing or using SpecMake ("the Service"), operated at specmake.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

SpecMake is a web-based tool that processes technical specification documents. You upload a document (PDF, Word, or Excel), and the Service extracts, structures, translates, and generates formatted output documents. Processing is powered by AI (Anthropic Claude API).

3. Accounts

The EU DPP readiness check tool at /dpp-check is available without an account. All other features — document processing, translation, document history, glossary management, custom templates, and team features — require creating an account.

You are responsible for maintaining the security of your account credentials. You must notify us immediately if you suspect unauthorized access to your account.

4. Plans & Billing

SpecMake offers subscription plans, billed annually via Stripe based on catalog size (SKU limits). No setup fee applies on Starter or Professional plans. Enterprise plans and Charter Customer Program engagements may include a one-time onboarding fee scaled to catalog size and integration scope, agreed in writing during the first call. Processing allowance & fair use. Plan limits are based on the number of product SKUs maintained in your catalog. To support ongoing re-processing — revisions, supplier updates, and regulatory re-checks — each plan also includes a generous monthly processing allowance scaled to your plan's catalog size, sufficient to re-process your entire catalog several times over within a single month. This allowance is included at no additional charge and is set well above normal usage; most regulatory re-checks do not consume it at all, since SpecMake re-scores your already-extracted data against updated rules without re-running extraction. Sustained processing volume that materially and repeatedly exceeds this allowance — for example, automated re-processing of an entire catalog far more often than is required to keep your data current — is subject to fair-use review. To protect service stability and prevent runaway automated usage, processing may be temporarily paused when usage substantially exceeds the allowance; we are notified when this occurs and will work with you promptly to restore service or agree an appropriate plan adjustment. We will not interrupt ordinary, legitimate use of the Service.

Automatic renewal. Annual subscriptions renew automatically for successive 12-month terms unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term. We will email a renewal reminder before each renewal. Renewal is at the list price in effect at renewal; we will give at least thirty (30) days' notice of any price increase applying to your renewal.

Service availability. We target high availability for the Service and offer service credits for sustained downtime under our Service Level Agreement, available on request. Those service credits are your sole and exclusive remedy for any failure to meet the stated availability target.

You can cancel your subscription at any time through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

5. Intellectual Property

Your content: You retain full ownership of all documents you upload and all output generated from your documents. We claim no intellectual property rights over your content.

Our service: The SpecMake service, including its design, code, prompts, and templates, is our intellectual property. You may not copy, modify, or reverse-engineer the Service.

6. Acceptable Use

You agree not to:

  • Upload content that is illegal, harmful, or violates third-party rights.
  • Attempt to circumvent usage limits or billing.
  • Use the Service to build a competing product.
  • Interfere with or disrupt the Service or its infrastructure.
  • Share account credentials or allow unauthorized access.

7. Accuracy & Disclaimers

SpecMake uses AI to process and translate documents. While we strive for high accuracy, AI-generated output may contain errors, omissions, or mistranslations. The User assumes full responsibility for reviewing all output before use. The Service is provided "as is" without warranties of any kind, express or implied.

SpecMake does not provide certified translations. Output from the Service should not be used as a substitute for certified or sworn translations where required by law or regulation.

In particular, the following types of documents require professional human review before use in their intended context:

  • Safety Data Sheets (SDS / MSDS)
  • Instructions for Use (IFU) for medical devices
  • Regulatory submissions and compliance documentation
  • Product labeling required by law
  • Any document where an error could result in risk to health, safety, or the environment

The User assumes full responsibility for verifying the accuracy and completeness of all AI-generated output before relying on it in any professional, commercial, regulatory, or safety-critical context.

8. Limitation of Liability

To the maximum extent permitted by law, SpecMake shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Italy. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.

11. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

12. Data Protection & Sub-processors

Where we process personal data on your behalf in providing the Service, we act as a processor and you as the controller; our processing is described in our Privacy Policy. For business customers, a Data Processing Agreement (DPA) is available on request.

We engage sub-processors to provide the Service; the current list is set out in our Privacy Policy. We will give at least fourteen (14) days' notice before adding a new sub-processor that processes personal data on your behalf, during which you may object on reasonable data-protection grounds.

13. General

Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including failures of third-party infrastructure, denial-of-service or other attacks, or acts of government.

Assignment. You may not assign these Terms without our prior consent. We may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.

Entire agreement; severability. These Terms, together with the Privacy Policy and any applicable Service Level Agreement or Data Processing Agreement, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full effect.
